Terms and Conditions for HVAC Services - Thermal Plus LLC

These terms and conditions (the "Agreement") govern the provision and performance of HVAC services by Thermal Plus LLC ("Contractor") to its clients ("Client"). By engaging Contractor's services, the Client agrees to be bound by the terms and conditions set forth below:

1. Services:

   1. Contractor will provide HVAC services, including installation, repair, maintenance, and inspection, as agreed upon between the parties.

   2. All services will be performed by trained professionals employed by Contractor.

2. Service Calls:

   1. The Client may request a service call by contacting Contractor's office and scheduling an appointment.

   2. Contractor will make reasonable efforts to promptly respond to service calls, but no specific time frame is guaranteed.

   3. The Client acknowledges that while Contractor's professionals will attempt to fix HVAC issues, there is no guarantee of successful resolution.

3. Fees and Payment:

   1. Client agrees to pay Contractor the applicable service charges for the HVAC services provided. These charges may include but are not limited to:

      1. Service Call Fee: A fixed fee charged for the initial visit to assess the HVAC system and diagnose the issue.

      2. Hourly Labor Rate: A per-hour rate for the time spent by Contractor's professionals in performing the HVAC services. The hourly labor rate may include a minimum charge for a specified duration.

      3. Parts and Materials: The cost of any necessary parts, materials, or components used during the HVAC services.

   2. The specific service charges, including any applicable taxes, will be communicated to the Client in advance and agreed upon between the parties.

   3. Payment for the service charges is due upon completion of the services, unless otherwise specified in writing.

   4. Invoices for the service charges will be provided to the client.

4. Liability:

   1. Contractor's professionals will exercise reasonable care and expertise when performing HVAC services. However, the Client acknowledges that Contractor cannot guarantee the complete resolution of all issues.

   2. Contractor shall not be liable for any damages or losses arising from pre-existing conditions of the HVAC unit or any issues that were not reasonably discoverable during the course of the services, except in cases of Contractor's gross negligence or willful misconduct.

   3. Contractor shall not be liable for any damages or losses arising from the use or inability to use the HVAC system, including but not limited to damages to property, loss of data, or personal injury, except in cases of Contractor's gross negligence or willful misconduct.

5. Indemnification:

   1. The Client agrees to indemnify and hold Contractor, its employees, and agents harmless from any claims, damages, losses, or expenses arising out of or related to the HVAC services provided, except in cases of Contractor's gross negligence or willful misconduct.

6. Warranty:

   1. The contractor provides a limited labor warranty on system replacement only.

   2. The warranty does not cover issues arising from the Client's misuse, negligence, or failure to follow maintenance guidelines provided by the contractor.

7. Intellectual Property:

   1. The Client acknowledges that any intellectual property rights associated with the HVAC services, including proprietary designs, documentation, or materials, shall remain the exclusive property of Contractor.

8. Termination:

   1. Either party may terminate this Agreement with written notice to the other party. The Client agrees to pay for any services rendered up to the termination date.

9. Governing Law and Jurisdiction:

   1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Contractor is located. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

10. Entire Agreement:

    1. This Agreement constitutes the entire understanding between the parties regarding the provision and performance of HVAC services and supersedes all prior agreements, whether written or oral.

By engaging the services of Thermal Plus LLC, the Client acknowledges that they have read, understood, and agreed to be bound by these terms and conditions.
